Terms of use of this website

This website is operated by Wizea Technology Limited, a company incorporated in Hong Kong (Company No. 3329284), registered office 19/F, Shun Feng International Centre, 182 Queen's Road East, Wan Chai, Hong Kong. Information on it is general and does not constitute an offer. Quotations are valid only when issued in writing by Wizea. Standards and product names mentioned belong to their owners; mentioning a standard does not imply certification to it unless stated, and mentioning a product family does not imply that Wizea is an authorised distributor of any brand unless stated in writing on a quotation. These terms of use are governed by the laws of the Hong Kong SAR, without prejudice to mandatory rights you may have under the law of your country.

General terms of sale

Clause	Text
1. Counterparty	The seller under each quotation, order confirmation and invoice is Wizea Technology Limited, Hong Kong, Company No. 3329284. Wizea buys in its own name and sells in its own name.
2. Quotations	Quotations are valid for the period stated on each line. Each quotation line states price, MOQ, lead time, validity, country of origin and the type of source: manufacturer, authorised channel or independent. For hard-to-find parts, the price on each line holds until its validity date while the lot is available; availability is confirmed in writing when the order is accepted.
3. Kind of source	The Buyer may restrict an order to manufacturer and authorised sources. Where a line is quoted as independent, the Buyer accepts that traceability is lot-dependent and that inspection and testing are as described on the quotation.
4. Delivery	EXW (Incoterms 2020) at the handover point stated on the quotation (Shenzhen in most cases, or Hong Kong), to the forwarder or agent nominated by the Buyer; FCA only where requested by the Buyer and stated on the quotation and the order. Lead times are estimates from order confirmation and receipt of any payment due at order. The Buyer is the importer in the destination country; Wizea provides the documents agreed on the order and supports the Buyer's forwarder and broker, but does not act as customs broker and makes no commitment regarding import classification, duties or clearance.
5. Payment	As stated on the proforma invoice. Payments only to accounts in the name of Wizea Technology Limited. Bank details are never changed by e-mail. Any change is confirmed by call-back. A payment made to any other account is not a payment to Wizea.
6. Inspection	Lots are inspected before dispatch against the approved sample and the agreed acceptance criteria; the inspection record is available to the Buyer on request. Laboratory tests are performed when agreed on the order or when Wizea's inspection plan calls for them.
7. Claims	Visible damage or shortage must be reported within 7 days of collection by the Buyer's forwarder; non-conformities within 30 days of collection, with evidence (photographs, quantities, lot and date codes). A case is opened the same business day with a reference and an owner; containment starts at case opening; root cause and corrective action follow on agreed dates. Confirmed non-conformities are remedied by replacement, rework, credit or refund, at Wizea's reasonable choice in consultation with the Buyer.
8. Non-cancellable, non-returnable	Hard-to-find, end-of-life and custom parts to drawing are non-cancellable and non-returnable once ordered, except under clause 7.
9. Tooling	Tooling ownership, location and release are stated on the order before production. Unless the order states otherwise, tooling paid for by the Buyer belongs to the Buyer and is listed in a tooling register.
10. Change control	Specifications, materials, sources, dates and prices change only after the Buyer's written confirmation.
11. Confidentiality of the Buyer's information	Drawings, specifications, bills of materials, volumes and the Buyer's identity are confidential, are used only to prepare quotations and perform orders, and are disclosed to a supplier only to the extent needed for the order and with the Buyer's identity withheld unless the Buyer agrees otherwise. Customer, supplier and partner names are not published.
12. Source confidentiality	Wizea's qualified-source network is proprietary and confidential and forms part of the service supplied. Unless agreed in writing, the Buyer shall not, for 24 months after the last delivery of a given article, procure that article directly or indirectly from a manufacturer or channel identified to the Buyer through Wizea's quotations, samples, inspections or documents. Wizea will disclose the manufacturer's identity where law, the Buyer's quality system or a written qualification programme requires it, under mutual confidentiality.
13. Disclosed intermediary	Wizea's margin is included in the price. Wizea takes no undisclosed commissions; representation commissions received from manufacturers it represents are declared in the relevant agreements and disclosed to the Buyer on request.
14. Liability	Wizea's liability is limited to the value of the affected goods. Wizea is not liable for indirect or consequential losses, including production stoppage, except where the law does not permit such limitation.
15. Export control	The Buyer declares the end use and end user on request and complies with applicable export control and sanctions laws.
16. Governing law and disputes	These terms are governed by the laws of the Hong Kong SAR. Any dispute is referred to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its rules in force, seat Hong Kong, language English, one arbitrator.
